Our First Acquisition

On February 16, 2024, Unusual Machines closed on a Share Purchase Agreement dated November 21, 2022, as amended (the “Purchase Agreement”) with Red Cat Holdings, Inc. (“Red Cat”) and Jeffrey Thompson, the founder and Chief Executive Officer of Red Cat, pursuant to which we purchased Red Cat’s consumer business consisting of Fat Shark Holdings, Ltd (“Fat Shark”) and Rotor Riot, LLC (“Rotor Riot”). Fat Shark and Rotor Riot are in the business of designing and marketing consumer drones and first-person-view (“FPV”) goggles. Rotor Riot is also a licensed authorized reseller of consumer drones manufactured by third-parties. Concurrently with the acquisition described above, Unusual Machines closed its initial public offering in which it raised $5 million in gross proceeds and began trading on the NYSE American under the ticker symbol “UMAC.”
